TERMS OF USE

BY ACCESSING OR USING THIS WEBSITE (the “Site”) and any content, posts, blog posts, portfolio company announcements, videos and podcasts, information, tools, or materials made available on or through the Site or on our social media handles, operated by Nexus Venture Partners (collectively, the “Materials”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (these “Terms”), as they may be amended from time to time. If you do not agree to these Terms, you may not access or use the Site.
Accessing the Site
Access to the Site is permitted on a temporary basis, and we reserve the right, at any time and without notice, to withdraw, suspend, modify, or discontinue the Site or any Materials, in whole or in part. We will not be liable to you or any third party if, for any reason, the Site or any Materials are unavailable at any time or for any period.
By accessing or using the Site, you represent and warrant that you are at least 18 years of age, have the legal capacity to provide valid consent, and are legally competent and authorised to enter into binding agreements under applicable law. The Site is not intended for use by children or any person under 18 years of age, and we do not knowingly permit such persons to access or use the Site.
Who We Are
The Site is maintained and operated on behalf of Nexus Venture Partners (“Nexus,” “we,” “us,” or “our”). In accordance with customary usage in the venture capital industry, the Site may occasionally use terminology suggesting that “Nexus” refers to a single entity. There is, however, no such single entity. Nexus operates through separate legal entities, including entities organized in the United States and entities organized in India, each of which has its own distinct legal existence, management, and, where applicable, its own regulatory registrations (each, a “Nexus Entity” and collectively, the “Nexus Entities”).
References on the Site and Materials to “partners,” “partnership,” or similar terms reflect business usage that is customary within the venture capital industry and are not intended to indicate that any individual so described is a partner, as that term is used for legal purposes, of any specific partnership, or that any Nexus Entity is a partnership.
Intellectual Property Rights
We and our licensors own or hold the rights to use all intellectual property rights in the Site and the Materials, including all text, information, photographs, graphics, design, logos, podcasts, videos, and code (collectively, “Site Content”). Site Content is protected by copyright, trademark, and other laws in the United States, India, and other jurisdictions, and all such rights are reserved.
You may print or download extracts of Site Content solely for your own personal, non-commercial reference — for example, as an applicant for employment, or a current or prospective portfolio company, business partner, or investor of Nexus — provided that you retain all copyright and proprietary notices. You must not modify any copy of the Materials, use any images, graphics, video, or audio clips separately from accompanying text, or use, reproduce, republish, distribute, or transmit any Site Content for public or commercial purposes without our prior written consent. Our (and any identified contributors’) status as the authors of Site Content must always be acknowledged. If you breach these Terms, your right to use the Site ceases immediately and you must, at our option, destroy or return any copies of Materials you have made.
Trademarks
‘Nexus’, ‘Nexus Venture Partners’ and the Nexus logo, and the names of Nexus’ services, are trademarks and/or service marks of Nexus in the United States, India, and/or other countries. Other company names, product names, and logos appearing on the Site — including those of our portfolio companies — are the trademarks of their respective owners. Nothing on the Site grants any license to any such trademarks or service marks, and you may not use them without the prior written consent of the relevant owner.
Restrictions on Use
You agree that you will not:
• use the Site or Site Content in any way that disables, overburdens, damages, or disrupts the Site;
• copy, reproduce, modify, distribute, create derivative works from, or publicly display any portion of the Site or Site Content without prior written consent;
• use any robot, spider, scraper, or other automated means to access, monitor, or copy any part of the Site or Site Content, including to harvest or collect data or indexing or commercially exploiting any portion of the Site;
• use the Site or any Site Content to train, fine-tune, or otherwise develop any machine learning or artificial intelligence model or related technology;
• introduce any virus, trojan horse, worm, logic bomb, or other material that is malicious or technologically harmful;
• attempt to gain unauthorized access to the Site, the server on which it is hosted, or any server, computer, or database connected to the Site;
• attack the Site via a denial-of-service or distributed denial-of-service attack;
• reverse engineer, decompile, or disassemble any part of the Site or its underlying source code; or
• use the Site or any Site Content for any unlawful, fraudulent, unauthorised or unethical purpose.
We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses, or other technologically harmful material that may infect your equipment, programs, data, or other proprietary material due to your use of the Site or your downloading of any Materials.
Links to Third-Party Sites
The Site may contain links to third-party websites and resources, provided for your convenience only. We have not reviewed all such sites, do not control their content, and accept no responsibility for them, including their accuracy, legality, availability, or data protection practices. Access to and use of any linked site may be subject to terms of use different from those applicable to the Site, is entirely at your own risk, and inclusion of a link does not imply our endorsement.
Registration and Password-Protected Areas
Certain areas of the Site may require registration or a password. If you register, you agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your username and password and agree not to share or transfer your access to any third party. Materials made available through a password-protected area may be confidential and subject to limits on use and disclosure (“Confidential Information”). You will use reasonable measures to protect the confidentiality of any Confidential Information, will use it only for the purpose for which it was disclosed to you, and will not disclose it to any person other than your directors, officers, employees, or professional advisers who need to know it for that purpose and who are bound to keep it confidential.
Correspondence and Unsolicited Ideas
We do not accept any obligation of confidentiality or any fiduciary duty with respect to information you send us through the Site or otherwise (including unsolicited business plans or pitches), unless we have entered into a specific written nondisclosure agreement covering that information. Absent such an agreement, we will treat any feedback, ideas, or suggestions you provide as non-confidential and non-proprietary, and we may use it for any purpose without compensation to you. Please do not submit anything through the Site that you consider confidential or proprietary.
No Offer; No Reliance; Not Advice
The Site is provided for informational purposes only. Nothing on the Site constitutes, and should not be construed as, (a) an offer, or a solicitation of an offer, to buy or sell any security or other financial instrument, to make an investment, or to engage in any other transaction; (b) investment, legal, tax, or other professional advice, or an offer to provide such advice; or (c) a recommendation or a basis for any investment decision. Indemnification
You agree to indemnify, defend, and hold harmless the Nexus Entities and their respective affiliates, officers, members, directors, employees, contractors, and agents from and against any liability, damage, loss, penalty, and cost (including reasonable attorneys’ fees) arising out of or related to your use of the Site or Site Content or your violation of these Terms.

Governing Law and Dispute Resolution
These Terms, and any dispute arising out of or relating to them or your use of the Site, are governed in all respects by the laws of the State of California, United States, without regard to its conflicts-of-laws principles. Except as otherwise agreed by us in writing, you consent to the exclusive jurisdiction and venue of the state and federal courts for the county in which Nexus’ principal place of business is located, for any dispute arising from or relating to these Terms.
Miscellaneous
These Terms constitute the entire agreement between you and Nexus regarding the Site and supersede all prior agreements on that subject, except that nothing here modifies any separate written agreement you may have with a Nexus Entity, which will govern to the extent of any conflict. Each Nexus Entity and its affiliates are intended third-party beneficiaries of these Terms. Our failure to enforce any provision is not a waiver of our right to do so later, and any waiver must be in writing. These Terms are binding on you and your successors and permitted assigns. If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full effect.
